These Terms and Conditions govern the use of the Menue platform. In these Terms, "Menue," "we," "our," and "us" refer collectively to the Menue platform, Disruptem Inc. (Canada), Taltek OPC (Philippines), and their respective affiliates, officers, directors, employees, and contractors."Business" or "Businesses" refers to any merchant, company, or individual using the Menue platform to offer products or services to customers.1. Platform NatureMenue is a technology service provider that enables restaurants, cafés, and other businesses to offer online ordering and management through a hosted subdomain such as yourbusiness.menue.io. Menue is not a seller, reseller, agent, or representative of any products or services listed by businesses using the platform.Menue may also facilitate connections between businesses and third-party service providers, including logistics and delivery partners. Menue does not provide delivery or transportation services and is not a shipper, carrier, consignor, consignee, or a party to any delivery transaction.2. Business Responsibilities2.1. Businesses remain solely responsible for the accuracy of all content published on their Menue subdomain, including menus, pricing, promotions, branding, and all products offered.Businesses are also solely responsible for all shipments processed through the platform, including but not limited to the nature, quality, legality, packaging, labeling, and compliance of goods with applicable laws and regulations.2.2. Businesses must provide clear public-facing policies for their customers, including:• Terms of service• Refund and cancellation policy• Delivery or shipping or pickup policy• Contact information including name, address, phone, and email
All transactions, customer service, and compliance with applicable laws are the sole responsibility of the business.2.3. Goods and Delivery ResponsibilityAll goods made available through the Menue platform are provided solely by the business. The business is fully responsible for the nature, condition, legality, safety, packaging, and compliance of such goods.Menue does not take possession of goods at any time and shall not be considered a shipper, consignor, or party to any delivery or transportation of goods. 3. Prohibited or Regulated Products3.1. Businesses are solely responsible for ensuring that the products and services they offer through Menue comply with all applicable laws and regulations, including but not limited to age restrictions, licensing, labeling, and health and safety requirements.3.2. Menue does not authorize, endorse, or assume any responsibility for the sale of restricted or regulated products, including but not limited to alcohol, tobacco, vape products, cannabis, pharmaceuticals, firearms, or hazardous materials.3.3. Any liability, fines, penalties, or disputes arising from the sale of such products rest exclusively with the business.3.4. Menue reserves the right to suspend or terminate accounts that offer products or services deemed illegal, harmful, or outside the acceptable use of the platform.
4. Customer Transactions and Refunds4.1. Menue is not a party to any transaction between a business and its customers.4.2. All payment, fulfillment, delivery, and service obligations are strictly between the business, the customer, and any applicable third-party service provider. Menue is not involved in or responsible for the execution of delivery or logistics services.4.3. Each business using Menue must establish and display its own refund or cancellation policy to customers.4.4. Menue is not responsible for refunds, chargebacks, or customer disputes, which must be resolved directly between the business and its customers.4.5. Shipping and LogisticsMenue provides automated tools and features that assist businesses with shipping operations, including but not limited to automatic package selection, cost calculation, booking, and rescheduling of deliveries. These features are provided for convenience only and do not constitute control over or responsibility for delivery services.All delivery, transportation, and fulfillment services are performed by independent third-party logistics providers. Menue does not control, manage, or guarantee the performance of these providers and shall not be liable for any loss, damage, delay, failed delivery, or other issues arising from delivery services.The business acknowledges that Menue's role is limited to facilitating access to such services and that Menue does not verify or inspect the contents of any shipment. Any disputes related to delivery services shall be resolved directly between the business and the logistics provider.4.6. Payment Processing and Platform RoleMenue acts solely as a technology platform facilitating payment processing through third-party providers. Menue does not hold customer funds, is not a payment processor, financial intermediary, or custodian of funds, and does not provide financial services. Menue is not a party to any payment transaction between the business and its customers.All payment processing, settlement, and fund transfers are performed by independent third-party payment service providers. Menue does not control, manage, or guarantee the performance of such providers.Menue shall not be liable for any payment failures, settlement delays, declined transactions, chargebacks, fraud, or any issues arising from payment processing services.The business acknowledges that it is solely responsible for complying with the terms and requirements of the applicable payment provider.The business is solely responsible for initiating and processing any refunds through the applicable payment service provider.
5. Subscription Fees and Refunds5.1. Businesses agree to pay subscription fees and any applicable charges to Menue as described in the subscription plan.5.2. All fees paid to Menue, including subscription fees, add-ons, and service charges, are non-refundable, including in cases of suspension or termination of service.
6. No Warranties6.1. Menue and its services, including APIs, tools, and integrations, are provided on an as-is and as-available basis. Menue disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and uninterrupted or error-free operation.
7. Limitation of Liability7.1. Menue, Disruptem Inc., Taltek OPC, and their affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the platform.Without limiting the foregoing, Menue shall not be liable for any claims, damages, or losses arising from products, shipments, delivery services, or the acts or omissions of businesses or third-party service providers.7.2. To the maximum extent permitted by law, Menue, Disruptem Inc., Taltek OPC, and their affiliates' total liability to any business shall not exceed the aggregate amount of fees paid by that business during the three months immediately preceding the claim.
8. Third-Party Services and Integrations8.1. Menue may integrate with third-party services such as delivery providers, payment processors, or messaging services.8.2. Menue is not responsible for the availability, performance, or legality of third-party services.8.3. Businesses are solely responsible for reviewing and complying with third-party terms of service.
9. Force Majeure9.1. Menue shall not be held responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, telecommunications outages, cyberattacks, government actions, or labor disputes.
10. Termination and Data Handling10.1. Menue may suspend or terminate a business's access to the platform at any time for violations of these Terms or unlawful activity.10.2. Upon termination, Menue may restrict or delete business data without liability.10.3. Businesses are responsible for exporting any data they wish to retain prior to termination.
11. Indemnification11.1. Businesses agree to indemnify, defend, and hold harmless Menue, Disruptem Inc., Taltek OPC, and their affiliates, officers, employees, and contractors from and against any claims, damages, losses, liabilities, or expenses including reasonable legal fees arising out of:• Use of the Menue platform• Business operations and customer transactions• Products and shipments processed through the platform• Published content or intellectual property disputes• Violation of applicable laws or regulations
12. Governing Law12.1. These Terms are governed by the laws of Ontario, Canada, without regard to conflict of laws principles.
13. Philippines-Specific Terms13.1. For businesses located in the Philippines, Taltek OPC Philippines acts solely as a local facilitator of services.13.2. These Terms do not override or limit compliance with mandatory Philippine laws and regulations applicable to the business.13.3. To the extent Philippine law applies, businesses agree that Menue, Disruptem Inc., and Taltek OPC's liability shall remain limited and subject to the same disclaimers, indemnifications, and liability caps contained in these Terms.
14. Updates to TermsMenue may update or modify these Terms from time to time. Any updates will be posted on this page with a revised effective date.For material changes, including but not limited to changes affecting liability, shipping, or payment terms, Menue may require businesses to provide explicit acceptance before continuing to use certain features of the platform.Continued use of the platform after updates become effective constitutes acceptance of the revised Terms, except where explicit acceptance is required.
